Chapter I — General Provisions
The REAKTYW Foundation, hereinafter referred to as the Foundation, operates on the basis of the Act of 6 April 1984 on foundations (as amended) and the provisions of this Statute.
The Foundation was established by Paweł Robert Sobczak, hereinafter referred to as the Founder, by a notarial deed drawn up by notary Rafał Brandt at the notary's office at Mokotowska Street 46A, flat 27 in Warsaw.
The seat of the Foundation is the city of Warsaw.
The duration of the Foundation is indefinite.
The area of operation of the Foundation is the entire territory of the Republic of Poland; to the extent necessary for the proper implementation of its objectives, the Foundation may also operate outside the territory of the Republic of Poland.
The Foundation has legal personality.
Supervision over the Foundation is exercised by the minister competent for family and social policy.
The Foundation may establish certificates, badges and award them together with other prizes and distinctions to natural and legal persons who have merited the Foundation and contribute to the achievement of its objectives.
The Foundation may establish branches, agencies and facilities in Poland and abroad.
The Foundation may use a seal bearing its name and seat.
Chapter II — Objectives and Principles of Operation
The objectives of the Foundation are:
1.Social assistance, including assistance to families and persons at risk of exclusion;
2.Charitable activities and the promotion and organisation of volunteering;
3.Activities in the field of ecology, environmental protection and animal rights;
4.Activities for the professional and social integration and reintegration of persons at risk of social exclusion, in particular wards of children's homes;
5.Activities supporting economic development, including the development of entrepreneurship;
6.Activities supporting the development of communities and local societies;
7.Activities for the family, motherhood, parenthood, dissemination and protection of children's rights;
8.Activities supporting education, science, higher education, tuition and upbringing;
9.Organising recreation for children and young people;
10.Dissemination of human rights and protection of civil liberties and activities supporting the development of democracy;
11.Activities for retired persons and persons with disabilities;
12.Activities for non-governmental organisations conducting activities consistent with the subject matter of the Foundation's activities.
The Foundation pursues its objectives through:
1.Cooperation with partners in order to achieve the Foundation's objectives;
2.Cooperation with local communities;
3.Organising courses, trainings, conferences, workshops, talent-show events and other educational and developmental activities;
4.Organising workshops and meetings to exchange experiences, and providing advice and consultations related to the Foundation's objectives;
5.Providing specialised legal, psychological, therapeutic and medical assistance, as well as crisis, material, humanitarian and financial assistance;
6.Participating in court proceedings concerning the protection of human and animal rights and supervising them in Poland and abroad, as well as representing persons and organisations benefiting from the Foundation's support before courts and public authorities, including appearing before administrative and civil courts in defence of the public interest;
7.Vocational activation, including vocational counselling and raising professional competences;
8.Implementing information, social and other media campaigns;
9.Publishing activities, including issuing publications, films and other materials;
10.Conducting and supporting other social actions consistent with the Foundation's objectives;
11.The Foundation's activities are of a non-profit nature.
Chapter III — Assets and Income
The assets of the Foundation consist of the founding fund in the amount of PLN 500 (five hundred zlotys), allocated entirely to statutory activities. The assets also include other property acquired by the Foundation in the course of its activities.
The Foundation's revenues come from:
a)donations, inheritances and bequests;
b)grants, subsidies and subventions;
c)revenues from public collections;
d)revenues from the Foundation's assets.
All revenues obtained by the Foundation are allocated exclusively to statutory activities.
Chapter IV — Authorities of the Foundation
The authorities of the Foundation are the Foundation's Management Board, hereinafter referred to as the Management Board.
Management Board
The Management Board consists of 2 to 7 persons, including the President, appointed by the Founder for a five-year term by resolution.
The office of a member of the Management Board may be held for more than one term.
The first and subsequent compositions of the Management Board are appointed by the Founder.
Membership of the Management Board ceases as a result of:
a)submission of a written resignation to the Founder;
b)loss of public rights as a result of a final court conviction for an intentional crime;
c)death of a member of the Management Board;
d)a resolution of the Founder removing the member from the Management Board.
The Management Board directs the activities of the Foundation and represents it externally.
The competences of the Management Board include:
a)directing the current activities of the Foundation;
b)implementation of statutory objectives;
c)preparing work plans and budgets;
d)managing the Foundation's assets;
e)representing the Foundation externally;
f)employing staff and determining the amount of their remuneration;
The Management Board is obliged to submit an annual report on the Foundation's activities to the Founder every year.
Members of the Management Board may receive remuneration for the functions they perform.
Meetings of the Management Board are held as needed, but not less frequently than once a year.
Meetings of the Management Board are convened by the President, sending information about the date by electronic means of communication, or if this is not possible, by registered letter, at least 3 days before the planned meeting. All members of the Management Board must be informed of the meeting.
The Management Board makes decisions by resolutions by a simple majority of votes in the presence of at least half of its members, unless further provisions provide otherwise. In the event of a tie, the President's vote is decisive.
Method of representation and incurring property obligations
The President of the Management Board acting alone, or two members of the Management Board acting jointly, are entitled to make declarations of will on behalf of the Foundation, including in property matters.
Chapter V — Final Provisions
Amendments to the Statute of the Foundation are made by the Management Board by a resolution adopted by a two-thirds majority of votes in the presence of all members of the Management Board. The amendment may concern the objectives specified in the deed of establishment.
The Foundation may merge with another foundation for the effective implementation of its objectives.
A merger with another foundation may not take place if, as a result, the objective of the Foundation would be substantially changed.
In matters of merger with another foundation, the decision is made by the Management Board unanimously, in the presence of all members entitled to vote.
The Foundation is liquidated upon achieving the objectives for which it was established or upon exhaustion of its financial resources and assets.
The Management Board shall notify the minister competent for family and social policy of the liquidation of the Foundation.
The decision on liquidation is made by the Management Board unanimously, in the presence of all members entitled to vote.
The financial resources and assets remaining after the liquidation of the Foundation may be allocated by a resolution of the Management Board to organisations operating in the Republic of Poland with similar objectives.
This Statute shall enter into force on the date on which the decision on the Foundation's entry into the relevant register becomes final.
